Article 1: Scope and modification of General Terms and Conditions of Sale

The General Terms and Conditions of Sale outlined herein apply to contractual relations between all users of the Prizee.com website (hereafter referred to as the “User”) and PRIZEE.COM SAS, a limited liability company with a capital of €1,000,000 and head offices at 22 allée Alan Turing - 63000 CLERMONT-FERRAND, FRANCE, registered in the Clermont-Ferrand trade register under number 432 535 581 (referred to hereafter as “Prizee.com”).

These general terms and conditions of sale are the only applicable conditions and replace all others, with the exception of any exemptions previously expressed in writing. In order to deal with a technical requirement, an organisational need or a technical upgrade, Prizee.com may periodically modify certain clauses of these general terms and conditions. Therefore, Users are advised to read them again before each order via Prizee.com. These changes are applicable from the moment they are posted online and cannot be applied to previous contracts. Each online purchase is governed by the general terms and conditions in force on the date the order is placed. Prizee.com deems that by confirming an order or by ticking the “checkbox”, the User has read and accepts, without any reservations, the present general terms and conditions of sale.
Modification, interruption or termination of the prizee.com service does not entitle the user to compensation of any kind.

Minors are allowed to purchase all products offered by prizee.com, providing they obtain prior consent from their parents or legal guardians. The purchase of a single item implies they have obtained parental authorisation. PRIZEE.COM reserves the right to request written proof at any time and to make any necessary verifications. Any minor participants unable to produce proof of parental authorisation within 15 days will lose all their points and be excluded from the game.


Article 2: Product definition

The "MaxPack" is a set of game sessions that can only be used on the Prizee.com website. These sessions are credited to the User’s account and can be used to play at any time, as long as the game is available on the site. In the event a game is discontinued on Prizee.com, the unused sessions are lost. The exact content of the MaxPack can vary according to the games offered on the date it is used and the User’s preferences, as he can choose the game for which he wishes to purchase sessions. Content is indicated on the “MaxPack” page of the website, accessible at the following address: http://www.prizee.com/packpartie.php.

Different MaxPacks are offered alone or accompanied by a subscription to a range of services with additional user advantages. This range of services is referred to hereafter as “PRIZEE CLUB”.

Details of the offer and options can be consulted directly on the website.

For technical or organisational reasons, PRIZEE.COM can unilaterally change its offer. If the user does not wish to accept the new offer, he can cancel his subscription. See article 9 entitled “special conditions for PRIZEE CLUB subscriptions” below.

The MaxPack can also be used to access “PRIZEE CLUB”.


Article 3: Order Process

"MaxPacks"

After identifying himself on the site, the User must go to the “MaxPack” page, accessible via the address http://www.prizee.com/packpartie.php. He then selects the content of his MaxPack. Once he has made his selection, he must click on the button “Recharge your account” and choose one of the different means of payment offered. Clicking on the “Confirm” button on the payment page constitutes irrevocable acceptance of the present general terms and conditions of sale. Once payment is validated, the MaxPack(s) ordered by the User is/are immediately credited to his account. Payments by credit card are not validated immediately. This can take several tens of minutes depending on the state of the network. According to the means of payment used, the User will receive a receipt for his order in the “Your messages” section, accessible via the address http://www.prizee.com/intra_mail.php, or in the “Your payment History” and “Your MaxPack History" sections accessible via the address http://www.prizee.com/votrecompte.php. Once they are credited to his account, the User can use his MaxPack(s), at any moment and with no limitation in time, by clicking on the appropriate icon. This clicking triggers the use of the MaxPack, which is converted into game sessions.

"Access to “PRIZEE CLUB"

After identifying himself on the site, the User must go to the “PRIZEE CLUB” page, accessible on http://www.prizee.com/club-prizee.php.
The User must click on “I become a member”.

If the User has not already entered his personal details, he is redirected to the page http://www.prizee.com/inscription2.php. He must then enter his personal information.

The User who has already entered his personal data is directed to the page http://www.prizee.com/club-prizee.php. He must then click on “I become a member” and provide a valid email address. He then ticks the box “I accept the general terms and conditions of sale and site rules”.
The User can then choose his means of payment.

The User can also access “PRIZEE CLUB” by using a certain number of his “MaxPacks”. This number is indicated directly on the Prizee.com website.

Clicking on the “Confirm” button of the payment page constitutes irrevocable acceptance of the order, which can only be rescinded within the limits outlined in the present general terms and conditions of sale.

Once payment has been validated, the User immediately has access to “PRIZEE CLUB”. Payments by credit card are not validated immediately. This can take several tens of minutes depending on the state of the network. According to the means of payment used, the User will receive a receipt for his order in the “Your messages” section, accessible via the address http://www.prizee.com/intra_mail.php or in the section “PRIZEE CLUB” accessible via the address http://www.prizee.com/votrecompte.php.

Moreover, placing an order implies complete acceptance without reservations by the User of the present General Terms and Conditions of Sale as well as rules governing use of the prizee.com website.

Prizee.com agrees to deliver the “MaxPack” and access to “PRIZEE CLUB” within 5 days maximum after validation of payment.



Article 4: Prices

The prices applied are those indicated on the site the day the order is placed. These prices include tax.

“MaxPack”

Prices are calculated according to the number of MaxPacks ordered, the means of payment used and the User’s country of residence. They are indicated in Euros and include tax. They can be consulted on the “MaxPack” page, accessible on http://www.prizee.com/packpartie.php.

All offers and prices are valid provided they are visible on the prizee.com website.

Access to “PRIZEE CLUB”

All offers and prices are valid provided they are visible on the prizee.com website.

The special reduced price offer applies only to the first three months of subscription, providing the subscription is still valid at the end of the first three months. This offer applies only to the first subscription.


Article 5: Means of Payment and Security

Various means of payment are available, depending on the country of residence, the product purchased and the User’s preference: Credit card, SMS, Telephone, Internet+. Details of each means of payment can be consulted on the “MaxPack” page, accessible on http://www.prizee.com/packpartie.php and on the page http://www.prizee.com/club-prizee.php for subscriptions.


Prevention of Credit Card fraud

In case of payment by credit card, data concerning the order is automatically processed by FIA-NET S.A. Automatic data processing is used to define an analysis level for the transaction and prevent credit card fraud. FIA-NET S.A. and Prizee.com are the only parties to receive data concerning the order. Failure to transmit data concerning the order prevents analysis and performance of the transaction. In the event payment is refused due to fraudulent use of a credit card, the data related to the unpaid order is registered in an “incident file” administered by FIA-NET S.A. An irregular declaration or anomaly can also be subject to specific processing. In compliance with the French Data Protection Act of 6th January 1978, the User has the right to consult, correct or delete his personal data at any time by sending a written request along with proof of identity to FIA-NET - Service Informatique et Libertés - Traitement n°773061 - 22 rue Drouot, 75009 Paris, FRANCE. Prizee.com reserves the right to refuse orders from consumers who have not partially or completely settled a previous order or who are currently involved in a payment dispute.


Article 6: Proof of identity

Prizee.com reserves the right to ask the User at any time to produce proof of his identity, address and means of payment used for the purchase of MaxPacks and/or subscriptions to PRIZEE CLUB, in particular an ID card, proof of residence, as well as a receipt, depending on the means of payment used, such as a phone or internet bill, bank statement and bank details. The User is advised to keep all receipts of his purchases for a period of 1 year after payments made on the site. If the User does not respond to a request for identification within 15 days, he will lose all his game sessions and his account on Prizee.com will be closed.

Article 7: Legal Liability

The present contract is governed by French law. Prizee.com cannot be held responsible for failure to execute the contract due to an act of God or a case of force majeure, as interpreted in article 1148 of the French Civil Code.

The purchase of a MaxPack and /or subscription to PRIZEE CLUB is the sole responsibility of the User. Total or partial impossibility of using a MaxPack, and/or access to PRIZEE CLUB, in particular due to incompatible hardware, does not entitle the User to reimbursement or any form of compensation or engage in any manner the responsibility of Prizee.com. If a problem arises concerning delivery of an order, the User has two months, from the date of purchase, to contact Prizee.com. After this period, Prizee.com will not accept any claims.


Article 8: Right of Withdrawal

MAXPACK

In compliance with article L.121-20 and onwards of the Consumer Code, the User benefits from a period of 7 working days from the date on which the MaxPack was credited to his account to request reimbursement. To do this, the User must make a written request by post or fax indicating his Prizee username, contact details, the date of the order and means of payment used. This right can only be exercised for complete MaxPacks that have not been used, even partially. After receiving and approving such a request, Prizee.com agrees to reimburse the User within a maximum of 30 days.

SUBSCRIPTION TO PRIZEE CLUB

In compliance with articles L. 121-20 and L. 121-20-2 of the Consumer Code, the User benefits from a period of seven (7) days, from the delivery date of the Product, to request reimbursement in full and/or to refuse the service if the User has purchased a Product associated with a Subscription.

However, this right cannot be exercised if the User has activated the subscription before the end of the 7-day period.

Activating the subscription means, in particular, claiming a gift from the “PRIZEE CLUB shop”, taking part in a “top game” session, an exclusive PRIZEE CLUB game, or joining a Queue.


Article 9 : Specific clauses for subscription to "Prizee Club"

9-1 General Terms and Conditions of Subscription - Duration

Subscriptions to PRIZEE CLUB start on the date the order is accepted.

Subscriptions to PRIZEE CLUB are concluded for an initial period of one month. At the end of this initial period, the subscription is tacitly renewed for a subsequent one-month period, in the absence of notification by the User.

The User can cancel his PRIZEE CLUB subscription at any time by clicking on the “unsubscribe” button located on the “your account/subscription history” page. The link directs the User to the appropriate page/website, depending on the means of payment used. Cancellation takes effect at the end of the current subscription.

Prizee.com reserves the right to change its prices or the present general terms and conditions of sale at any time.

During the initial period of 1 month, the general terms and conditions of sale are those in effect on the site on the date the subscription was ordered.

In the event of changes in prices or terms and conditions of service during the initial 1-month period, Prizee.com informs the User by email or a “bubbly box” of any contractual changes and in particular increased prices, before they take effect. Prizee.com therefore invites the User to regularly visit the prizee.com website to keep abreast of any changes in service. In this case, the User can terminate his contract according to the conditions outlined previously. If he fails to cancel his subscription, the new conditions and/or prices will apply.

If a User registers after changes are posted on line, the new terms and conditions apply immediately since he has explicitly accepted them when joining PRIZEE CLUB.


9-2 Special Conditions linked to the user's means of payment and place of residence

Subscriptions to PRIZEE CLUB start on the date the order is accepted.

The duration of PRIZEE CLUB subscriptions can vary according to the User’s means of payment and place of residence. Therefore, the duration of the initial subscription can vary from that specified in the general terms and conditions of sale (paragraph 9-1 above).

Special conditions linked to the User’s means of payment and place of residence can be consulted directly on the site when the User selects his means of payment.

The offer and related prices are valid as long as they are visible on the prizee.com website.

As initially indicated in the general terms and conditions of subscription (paragraph 9-1 above), subscriptions are tacitly renewed for the same duration as the subscription selected.

The User can cancel his PRIZEE CLUB subscription at any time via the section “your account”.

In the event of changes in prices or terms and conditions of service during the initial period, Prizee.com informs the User by email or a “bubbly box” of any contractual changes and in particular increased prices, before they take effect. Prizee.com therefore invites the User to regularly visit the prizee.com website to keep abreast of any changes in service.

In this case, the User can terminate his subscription contract according to the conditions outlined previously. If he fails to cancel his subscription, the new conditions and/or prices will apply.

Once they are posted on the website, changes take effect at the end of the initial period. If a User registers after changes are posted on line, the new terms and conditions apply immediately since he has explicitly accepted them by joining PRIZEE CLUB.

9-3 Cancellation

The User can cancel his access to PRIZEE CLUB at any time. Cancellation takes effect at the end of the current subscription.

In the event of cancellation, the advantages linked to the PRIZEE CLUB subscription are lost.

However, “top game” sessions and “exclusive PRIZEE CLUB games”, attributed on a daily basis, are saved for 72 hours. Afterwards, the User who does not wish to renew his membership with PRIZEE CLUB loses all access to them.

It is specifically indicated that these games are only accessible to PRIZEE CLUB members.

“Diamonds” accumulated during a PRIZEE CLUB subscription are valid for one year from the date of cancellation.

“Diamonds” attributed during a PRIZEE CLUB subscription can only be used within the context of PRIZEE CLUB. Therefore, all cancellations entail the deletion of “Diamonds” after one year.

Modification, interruption or termination of the PRIZEE CLUB service does not entitle the user to compensation of any kind.
